Hoy - End User License Agreement (EULA)

Please read this agreement carefully before downloading, installing, or using Hoy. By using the software, you agree to the terms of this End User License Agreement ("Agreement").
1. License Grant
STUDIO DK01, s.r.o., IČO 23283661, Sokolská třída 1615/50, Moravská Ostrava, 702 00 Ostrava, Czech Republic ("Developer") grants you a limited, non-exclusive, non-transferable license to install and use Hoy.
Free tier: use of Hoy at no cost, including your personal channel, joining an unlimited number of channels, and hosting 3 channels.
Hoy Pro: an active Hoy Pro license additionally allows hosting an unlimited number of channels, on up to 3 devices per license. Hoy Pro is available as a yearly subscription or as a one-time lifetime license.
2. Purchases, Lapse, and Refunds
Purchases, billing, renewal, cancellation, and refunds are processed by Polar (polar.sh) acting as merchant of record, subject to their terms. If you are a consumer in the EU, your statutory right of withdrawal applies and is handled by Polar.
A lifetime license grants Hoy Pro for the licensed version line without recurring payment and does not expire.
If a subscription ends, Hoy reverts to the free tier. Channels you hosted while subscribed remain functional and accessible; a lapsed subscription only removes the ability to host new channels beyond the free tier. The Developer reserves the right to change pricing and tier limits for future purchases; changes will not remove access to channels you already host, and will not affect a lifetime license already purchased.
3. Your Content
Hoy transmits and stores your content (notes, files, recordings) exclusively through Apple's iCloud (CloudKit), using your own iCloud account and the accounts of channel participants. The Developer operates no server for your content and has no access to it, and therefore no ability to view, moderate, recover, or delete it.
Voice messages are transcribed on your device using Apple's Speech framework. Audio is not sent to the Developer or to any third party for transcription.
You are solely responsible for the content you share and for complying with applicable law when using Hoy. You must not use Hoy to share content that is illegal or that infringes the rights of others. Your use of iCloud is subject to Apple's terms and your iCloud storage limits; channels you host count against your iCloud storage.
4. Restrictions
You may not:
Copy, redistribute, resell, sublicense, rent, or lease the software
Reverse engineer, decompile, modify, or attempt to derive the source code of the software
Use Hoy Pro on more devices than permitted by your license
Share, publish, or distribute license keys or activation credentials
5. Ownership
Hoy and all related intellectual property rights remain the exclusive property of the Developer. This Agreement grants you a license to use the software and does not transfer ownership of the software to you. Your content remains yours; the Developer claims no rights to it.
6. Updates
The Developer may provide updates, bug fixes, modifications, or feature changes at any time and at the Developer's sole discretion. Updates may be delivered automatically through Sparkle auto-update functionality. The app's features may change significantly between versions.
7. Disclaimer of Warranty
Hoy is provided "as is" and "as available," without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. The Developer does not guarantee that the software will be error-free, secure, or uninterrupted, or that content transmitted through iCloud will be delivered, preserved, or recoverable.
Nothing in this Agreement limits any statutory rights you have as a consumer that cannot be excluded under the law of your country of residence.
8. Limitation of Liability
To the maximum extent permitted by applicable law, the Developer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or business interruption, arising out of or related to the use or inability to use Hoy.
In no event shall the Developer's total liability exceed the amount you paid for Hoy Pro in the 12 months preceding the claim, or, in the case of a lifetime license, the amount you paid for that license.
9. Termination
This license remains effective until terminated. The Agreement will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the software and uninstall all copies of Hoy.
Sections relating to ownership, warranty disclaimers, and limitation of liability shall survive termination.
10. Privacy and Connectivity
Hoy connects to: Apple's iCloud (CloudKit) for all channel content and synchronization, under your own iCloud account; Polar (polar.sh) for license validation when you purchase Hoy Pro; and the Developer's server (heyiam.dk) to check for and deliver software updates. The Developer does not use Hoy to collect analytics or tracking data. License validation is subject to Polar's privacy policy; iCloud usage is subject to Apple's.

11. Governing Law
This Agreement is governed by the laws of the Czech Republic, without regard to conflict of law principles. If you are a consumer resident in the EU, this does not deprive you of the protection of mandatory provisions of the law of your country of residence.
